40-805. Records required to be kept by secretary The secretary shall keep: 1. A record of the meetings of stockholders and directors, of all contracts entered into by the board of directors, and of the assets and liabilities of the corporation. 2. A stock ledger showing the names and residences of all stockholders, the shares held by each and the actual cash paid therefor. 3. A stock transfer book. 4. Other books necessary to show fully the corporate transactions.
