Alabama Code § 10A-3A-9.06

(a) After an amendment to the certificate of incorporation has been adopted and approved in the manner required by this chapter, the certificate of incorporation, and bylaws, the nonprofit corporation must deliver to the Secretary of State, for filing, a certificate of amendment, which must set forth: (1) the name of the nonprofit corporation; (2) the text of each amendment adopted or the information required by Section 10A-3A-1.04(c)(5); (3) if an amendment provides for an exchange, reclassification, or cancellation of memberships, provisions for implementing the amendment if not contained in the amendment itself (which may be made dependent upon facts objectively ascertainable outside the articles of amendment in accordance with Section 10A-3A-1.04(c)(5)); (4) the date of each amendment’s adoption; (5) a statement that the amendment was adopted: (i) in accordance with Sections 10A-3A-9.02, if the nonprofit corporation is a membership nonprofit corporation which has not yet admitted one or more members; (ii) in accordance with Sections 10A-3A-9.03 and 10A-3A-9.04, if the nonprofit corporation is a membership nonprofit corporation which has admitted one of more members; (iii) in accordance with Section 10A-3A-9.05, if the nonprofit corporation is a nonmembership nonprofit corporation; or (iv) in accordance with Section 10A-3A-1.04(c)(5); (6) a statement that the amendment was adopted in accordance with Section 10A-9A-9.30, if applicable; and (7) the unique identifying number or other designation as assigned by the Secretary of State. (b) A certificate of amendment shall take effect at the effective date and time determined in accordance with Article 4 of Chapter 1.
