(a)(1) A person may become a member of a decentralized unincorporated nonprofit association in accordance with the governing principles of that decentralized unincorporated nonprofit association. (2) If there are no applicable governing principles, a person shall be considered a member upon the purchase or assumption of ownership of a membership interest. (3) A person shall continue as a member absent the person’s suspension, dismissal, or expulsion pursuant to subsection (b), resignation pursuant to Section 10A-17-2.16, or the decentralized unincorporated nonprofit association’s dissolution and winding-up pursuant to this article. (b) Subject to the governing principles of the decentralized unincorporated nonprofit association, a member may be suspended, dismissed, or expelled. If there are no applicable governing principles, a member may be suspended, dismissed, or expelled by approval of the membership in accordance with Section 10A-17-2.20. (c) Unless otherwise provided for in the governing principles, suspension, dismissal, or expulsion of a member does not relieve the member of any obligation incurred, or commitment made by the member, before the suspension, dismissal, or expulsion.
